Introduction

These Purchase and Sale Terms and Conditions ("P&S Terms") govern the end-to-end process of property transactions facilitated through the Platform. The Platform covers all the initial stages of a property transaction, including listing a property for sale, appointment booking for property viewings, submission and acceptance of offers, and communications among the parties.

In these P&S Terms, "Buyer" refers to a Verified User interested in purchasing a property and "Seller" refers to a Verified User offering a property for sale.

By using the Platform to book appointments, submit offers, or otherwise participate in the initial stages of a property transaction, you agree to be bound by these P&S Terms.

These P&S Terms form an integral part of the General Terms & Conditions, and by participating in any property transaction on the Platform, you expressly agree to be bound by both, the General Terms and Conditions and P&S Terms. In the event of any conflict between these P&S Terms and the General Terms and Conditions, these P&S Terms shall prevail to the extent the conflict relates specifically to property transactions.

All capitalized terms used but not defined in these P&S Terms shall have the meanings assigned to them in the General Terms and Conditions.

If you do not agree to these P&S Terms or General Terms and Conditions at any point, you must immediately discontinue your use of the Platform.

User Verification

To access key features of the Platform, including scheduling property viewings, submitting offers, and listing properties for sale, users must first complete the verification process and become a Verified User. The verification process requires providing certain details and documents, depending on whether the user is registering as an individual Buyer/Seller or a company Buyer/Seller. Verification requirements are detailed in the General Terms & Conditions.

Once verified, users gain access to Platform functionalities based on their role:

  • Buyers can schedule property viewings, submit offers and communicate with Sellers.
  • Sellers can list properties for sale, utilize third party services offered by Neuk to enhance or modify their listings, manage viewings, accept offers and communicate with Buyers.

By completing the verification process, becoming a Verified User and using the Platform, you agree to be bound by these P&S Terms.

Appointment Booking

Scheduling Appointments

Buyers do not directly contact Sellers to schedule viewings. The Platform acts as an intermediary by allowing Buyers to select available time slots directly (if the Seller has pre-set them). Sellers are responsible for keeping their availability up-to-date and for confirming or responding to appointment requests promptly.

Booking Deposits and Cancellations

To secure an appointment for a property viewing, a Buyer will be required to pay a fully refundable booking deposit through the Platform. Neuk will not accept deposits paid in any other way – they can only be paid through the Platform. This deposit demonstrates the Buyer's commitment and is held securely by Neuk. If the Buyer attends the appointment as scheduled, the deposit is fully refunded to the Buyer [within 5 to 10 working days or longer depending on the processing times of the payment provider]. If the Buyer fails to attend the appointment or a cancellation occurs less than 24 hours before the scheduled time, the deposit will be forfeited. If the Seller cancels the appointment or fails to honour the scheduled time without prior notice, the deposit is fully refunded to the Buyer within the timeframe provided above and Neuk shall also provide the Buyer with a free of charge rescheduling credit to be used towards the same or any other property viewing.

Buyer Responsibilities at Appointments

Buyers should arrive on time for scheduled appointments and may be required to present identification to verify they are the person who booked the appointment. During the property viewing, Buyers are expected to conduct themselves respectfully, should not cause any damage to the property and should limit their inspection to reasonable, non-intrusive actions (unless explicit permission for further inspection is given by the Seller). Any questions or concerns about the property's condition or features should be raised during the visit.

Seller Responsibilities at Appointments

Sellers must ensure the property is accessible and in a safe, presentable condition at the agreed appointment time. The Seller or their agent/representative should be present to greet the Buyer and conduct the viewing. Sellers are expected to provide truthful and accurate information about the property during the appointment, and to disclose any important known issues or defects as required by applicable law. If a Seller needs to cancel or change the timing of an appointment due to unforeseen circumstances, the Seller should notify Neuk immediately. Repeated cancellations may prevent the Seller from utilizing the Platform fully.

Offer Submission & Acceptance

Submitting an Offer

After viewing a property (or possibly without a viewing, at the Buyer's discretion), a Buyer can submit a purchase offer through the Platform's offer submission system. Neuk may require a payment of a non-refundable fee ("Offer Fee") for each offer submission per listing made through the Platform. This Offer Fee is payable at the time of offer submission and is not credited towards the property purchase or refundable under any circumstances, including if the offer is rejected, withdrawn or the property is no longer available. For additional higher offers on the same property, these may be submitted under the same Offer Fee without requiring an additional payment.

The offer will typically include the proposed purchase price and by submitting an offer, the Buyer confirms that they are serious about the purchase and financially capable of completing it if the offer is accepted by the Seller. Buyers should ensure that any offer they submit is reasonable and made in good faith. Once an offer is submitted, the Buyer is expected to honour it if accepted by the Seller.

Offer Validity and Withdrawal

Every offer submitted through the Platform is valid until the listing expires or is withdrawn by the seller. During this validity period, the Buyer cannot modify or withdraw its offer. Sellers are under no obligation to respond to or accept any offers submitted.

Non-Binding Nature of Offers

Offers and acceptances made on the Platform are not legally binding agreements to buy or sell and this is to be acknowledged by Buyers and Sellers. They are an expression of intent to proceed with the transaction on the stated terms. Both parties acknowledge that an offer accepted within the Platform indicates a mutual intention to move forward, but it does not form a final sale contract. The sale will only become legally binding when a formal written sale agreement is signed by both parties and any required deposit under that agreement is paid, which are conducted outside of the Platform.

Property Availability

Property availability is subject to change at any time without notice and is determined at the sole discretion of the Seller. The submission of an offer does not guarantee that the property will remain available for purchase. Neuk does not control or guarantee a Seller's decision to accept or reject offers, remove listings or sell the property outside the Platform. In cases where a property is no longer available after an offer is submitted, the Buyer will not be entitled to any refund of the Offer Fee, if paid.

Acceptance of Offer (Seller Responsibilities)

When a Seller receives an offer through the Platform, they have the option to accept or reject the offer. If the Seller accepts the offer as presented, they are indicating their commitment to sell the property to that Buyer at the offered price and terms, subject to finalizing the formal contract. Sellers should only accept an offer if they intend to complete the transaction on those terms. Once an offer is accepted on the Platform, Neuk will mark the property as "pending sale" (or similar status), and the Seller should not accept any other offers or enter into another sale agreement for the same property while this accepted offer is proceeding. Until an offer is accepted, the Seller is free to consider other offers; however, once they accept an offer, they are expected to move forward in good faith with that Buyer.

Moving Toward Contract (After Acceptance)

When an offer is accepted, both parties should cooperate to promptly proceed to the next step – drafting and signing the formal property sale contract. Neuk will facilitate this process outside of the Platform through its affiliated company, Smart Neuk Real Estate LLC. Please note, Neuk will not facilitate, secure or offer legal advice to any party. Any such advice in relation to the sale, must be obtained by the parties outside of the Platform.

Smart Neuk Real Estate LLC's Role in Property Transactions

Smart Neuk Real Estate LLC ("Smart Neuk") is an affiliated company of Neuk and has a real estate broker license. Smart Neuk's real estate agents are licensed by the Real Estate Regulatory Agency, the regulatory arm of the Dubai Land Department ("DLD"). Smart Neuk may assist the Buyer and Seller to facilitate their use of the Platform but will primarily provide services conducted outside of the Platform. Further information regarding Smart Neuk's role is set out below.

Drafting and Signing the Sale Contract

Once an offer is accepted, Smart Neuk will assist the Buyer and Seller in preparing a formal Sale and Purchase Agreement ("SPA") or Memorandum of Understanding ("MOU") that incorporates the agreed terms. This will typically be the standard form sale agreement (often referred to as Form F from the DLD) or a similarly approved contract from real estate authorities in the UAE. The contract will include all essential details: the names of the Buyer and Seller, property details, the agreed price, payment terms, completion date, and any special conditions (such as "subject to mortgage approval" or "subject to inspection results" if those were part of the offer). Both parties will have the opportunity to review the contract and obtain their own legal advice outside of the Platform, as required.

Both Buyer and Seller must sign the contract within the timeframe specified by Smart Neuk unless they mutually agree to extend that period. Signature of the contract will be done electronically via mobile phone. Smart Neuk's role is to facilitate the preparation and signing of this contract, but the content of the contract is ultimately agreed by the Buyer and Seller. We strongly encourage both parties to read the contract carefully and seek legal advice if needed before signing.

Payment of Deposit

At the time of contract signing, the Buyer will typically be required to provide a manager's cheque in the amount of 10% of the final agreed purchase price. Smart Neuk will facilitate this payment by collecting the cheque for safekeeping. The deposit is held until the transaction is completed or terminated. The MOU will specify the exact deposit amount and the conditions for its forfeiture or return if either party fails to complete the sale.

Payment of the Purchase Price

The remaining balance of the purchase price (after the deposit) is due upon completion of the sale, i.e., at the time of the title transfer ("Completion"). Smart Neuk will guide the Buyer on how to prepare for this final payment. The final payment may be in the form of (i) a manager's cheque, (ii) cashier's cheque issued to the Seller; (iii) the Seller's bank, if a mortgage is being settled or (iv) via a bank transfer into an escrow account as directed by Smart Neuk. Please note, cash transactions are not permitted, even where agreed between the parties. The exact method should be agreed in the relevant SPA or MOU. Smart Neuk can assist in coordinating the logistics of this payment. Both Buyer and Seller agree to follow the payment schedule and instructions outlined in their SPA or MOU. The Buyer should ensure that funds for the purchase (whether from personal funds or a mortgage) are available at Completion. The Seller should ensure that any requirements, including closing out an existing mortgage or providing bank account details for the payment, are ready at Completion.

Administrative Fee

Buyers are also required to pay a 2% administrative fee by cheque or bank transfer to Smart Neuk on the final agreed purchase price at Completion. This fee is mandatory and non-negotiable.

DLD Registration Fees

Buyers are required to pay 4% of the final agreed purchase price as DLD registration fees (including a 5% VAT) plus an administrative fee at the discretion of DLD.

Secure Transaction Process

The Neuk Companies are committed to maintaining a secure transaction environment. All payments handled through the Platform are processed using secure, encrypted channels. Buyers and Sellers may be required to undergo identity verification and provide certain documentation before payments are accepted or released. This step is required as part of Neuk's compliance with financial regulations (know-your-customer (KYC) and anti-money laundering (AML) laws). Buyers and Sellers must provide accurate financial information and any other information/documentation as requested by the Neuk Companies.

The Neuk Companies do not provide financing or loans to complete transactions, and any financing must be obtained by the Buyer independently (or via third-party services as described under the section on "Third Party Services" in these P&S Terms).

Coordination with the DLD

Smart Neuk will coordinate with both parties to arrange the official transfer of the property title at the DLD or trustee office. Once the contract conditions are met, a transfer appointment will be scheduled. Smart Neuk will help schedule a date and time for the Buyer and Seller to meet in person with the DLD to complete the transfer. An authorized Smart Neuk representative will be present to facilitate the process. Smart Neuk will provide guidance on the appointment logistics, including time slots, and any reference numbers or documents required for the meeting.

Document Preparation and Requirements

Prior to the transfer appointment, both Buyer and Seller must prepare all required documents for the title transfer. Smart Neuk will give each party a list of required information and documentation. If any required document is missing or delayed, the transfer appointment may need to be rescheduled. Both parties should cooperate in gathering and delivering the required paperwork in a timely manner to avoid delays.

Third-Party Services

The Neuk Companies may provide Buyers with access to third-party mortgage brokers or lenders via the Platform by suggesting mortgage providers as requested. Any such services are offered for the Buyer's convenience to streamline the process of obtaining financing. However, the Neuk Companies are not a lender and does not guarantee that any loan or financing will be approved or that the terms offered will meet the Buyer's needs. If a Buyer chooses to pursue a mortgage through a third-party lender suggested or introduced by a Neuk Company, the relationship is strictly between the Buyer and that third-party lender. The Buyer will be subject to the lender's own terms and conditions and application process. The Neuk Company's involvement is limited to facilitating the introduction or providing information on the relevant third-party lender.

The Neuk Companies might also offer or recommend other third-party services to assist Buyers and Sellers. For Buyers, this could include home insurance providers or services such as property inspection companies, valuation/appraisal services, maintenance and repair services, moving companies or interior design services. For Sellers, the Neuk Companies might offer introductions to third-party services such as photographers, cleaning services, or home staging companies to help prepare the property for sale. All such services are provided by independent third parties, not by a Neuk Company. If a Buyer or Seller decides to engage any of these services, the contract will be directly between the Buyer or Seller and the third-party service provider.

Any recommendation or suggestion of a third-party service on the Platform is not an endorsement or guarantee of that service. Each Buyer and Seller should exercise their own judgment and due diligence when selecting any third-party service. The Neuk Companies disclaim all liability for the actions, errors, or omissions of any third-party service providers. Any dispute or issue that arises from using a third-party service must be resolved between the Buyer or Seller and that third-party service provider.

All third-party service providers suggested via the Platform are independent entities. They are not agents, employees or partners of Neuk, and Neuk has no control over how they deliver their services. Similarly, these providers have no authority to speak for or obligate Neuk. Ultimately, engaging a third-party service is the user's choice and risk. Neuk's role is limited to making the connection or providing general information on the third-party service provider.

Liability

Neuk acts as a facilitator of property transactions, providing the Platform for Buyers and Sellers to connect and manage the steps of a property sale. Neuk is not a party to the actual SPA or MOU between the Buyer and Seller. As such, Neuk shall not be liable for the actual performance of Buyers and Sellers in completing a property sale. The obligation to buy, sell, and transfer the property lies solely with the Buyer and Seller once they enter into an SPA or MOU. Neuk shall not be liable for any losses, costs, expenses or damages arising from the Buyer or Seller's failure to its contractual obligations, any issues related to the property itself and/or the Buyer or Seller's use of the Platform.

While Neuk strives to maintain a high standard of accuracy and reliability on the Platform, Neuk does not guarantee that all information provided by users or third parties is correct, complete, or up-to-date. Property listings, appointment availability, offer details, and other content on the Platform may be provided by Sellers or other third parties, and Neuk cannot independently verify every piece of data received from a Buyer or Seller. Buyers are responsible for conducting their own due diligence on properties they are interested in. Sellers are responsible for ensuring that information they provide on the listed property is accurate, truthful and not misleading. Neuk will not be liable for damages arising from inaccuracies or omissions in listings or communications on the Platform, except to the extent that Neuk failed to accurately relay information that was explicitly confirmed.

Neuk provides its Platform and Services "as is" and "as available,", without any warranties or guarantees of any kind, unless expressly stated. We do not guarantee that a property will be sold, that a Buyer will find a suitable property or that the transaction process will be successfully completed. We do not warrant that the Platform will be uninterrupted or error-free at all times, though we strive to fix issues promptly.

Verified Users agree to indemnify, defend, and hold harmless Neuk, its affiliates, officers, agents, employees, and partners from any claims, liabilities, losses, damages, or expenses (including legal fees) arising from:

  • their violation of these P&S Terms; and
  • their use of our Platform.

Dispute Resolution

Any dispute between the Buyer and Seller arising out of the transaction is fundamentally between those two parties. Neuk is not legally responsible for resolving such disputes nor shall be considered a party to any such disputes. We encourage Buyers and Sellers to communicate and attempt to resolve disagreements in good faith.

Neuk does not arbitrate or adjudicate disputes and any legal disputes must be resolved through the mechanisms provided in the SPA or MOU.

By proceeding with any property transaction on the Platform, you acknowledge that you have read, understood, and agree to these P&S Terms. These P&S Terms are designed to create a fair and transparent process for all parties involved and to clarify the role of Neuk in your property transactions. If you do not agree with any part of these P&S Terms, you should not use the Platform for property transactions. Governing law and jurisdiction

If a dispute arises between you and Neuk, we strongly encourage you to first contact us directly to seek a resolution by emailing info@Neuk.ae. We will review your complaint and do our best to address it.

If a dispute between us cannot be resolved amicably, then to the fullest extent permitted by applicable law, these P&S Terms, their subject matter and their formation (and any non-contractual disputes or claims) are governed by the laws of the Dubai International Financial Centre ("DIFC") and will be interpreted accordingly. You irrevocably agree that the DIFC courts will have exclusive jurisdiction to settle any dispute or claim arising out of, or in connection with, your use of our Services or these P&S Terms, and all matters arising from them (including any dispute relating to the existence, validity or termination of these P&S Terms, or any contractual or non-contractual obligation).

Rental Terms and Conditions

Introduction

These Rental Terms and Conditions ("Rental Terms") govern the process of property rental transactions facilitated through the Platform. The Platform is a peer-to-peer digital marketplace for property rental transactions, which includes listing a property for rent, appointment booking for property viewings, submission and acceptance of offers, and communications among the parties.

In these Rental Terms, "Tenant" refers to a Verified User interested in renting a property and "Landlord" refers to a Verified User offering a property for rent.

By using the Platform to list a property for rent, book viewing appointments, submit offers, or otherwise participate in a property rental transaction, you agree to be bound by these Rental Terms.

These Rental Terms form an integral part of the General Terms and Conditions ("General Terms"), and by participating in any property transaction on the Platform, you expressly agree to be bound by both, the General Terms and Rental Terms. In the event of any conflict between these Rental Terms and the General Terms, these Rental Terms shall prevail to the extent the conflict relates specifically to property rental transactions.

User Verification

Once verified, users gain access to Platform functionalities based on their role:

  • Tenants can schedule rental property viewings, submit offers and communicate with Landlords.
  • Landlords can list properties for rent, utilize third party services offered by the Neuk Companies to enhance or modify their listings, manage viewings, accept offers and communicate with Tenants.

By completing the verification process, becoming a Verified User and using the Platform, you agree to be bound by these Rental Terms.

Listing a Property

Landlords can create and upload to the Platform detailed listings that include availability, property specifications and photographs, payment options (i.e., number of cheques), location, size, condition, amenities, and other relevant details.

Neuk requires a payment of a non-refundable fee ("Listing Fee") for each listing uploaded on the Platform.

Appointment Booking

Scheduling Appointments

Tenants can use the Platform to contact Landlords directly to schedule property viewings. Landlords can manage viewing requests digitally through the Platform and are responsible for confirming or responding to appointment requests promptly. Both the Landlord and Tenant should refrain from repeated last minute cancellations or no shows.

Tenant Responsibilities at Appointments

Tenants should arrive on time for scheduled appointments and may be required to present identification to verify they are the person who booked the appointment. During the property viewing, Tenants are expected to conduct themselves respectfully, should not cause any damage to the property and should limit their inspection to reasonable, non-intrusive actions (unless explicit permission for further inspection is given by the Landlord).

Landlord Responsibilities at Appointments

Landlords must ensure the property is accessible and in a safe, presentable condition at the agreed appointment time. The Landlord or their agent/representative should be present to greet the Tenant and conduct the viewing. Landlords are expected to provide truthful and accurate information about the property during the appointment, and to disclose any important known issues or defects as required by applicable law.

Communications and Offers

There is a messaging feature on the Platform for the Landlord and Tenant to communicate directly and exchange further details regarding the property listing.

Tenants can make inquiries about the property and make an offer to the Landlord directly using the messaging feature. Landlords may also use the messaging feature to review and accept offers, as well as negotiate with Tenants directly.

Tenancy Agreement and Payments

As the Platform is a peer-to-peer digital marketplace for Tenants to search and make offers on rental listings, and Landlords to upload rental listings and accept offers, Neuk does not intervene in the negotiations or guarantee a successful tenancy agreement.

However, through the Platform, Neuk does provide access to sample tenancy agreements and inspection reports for use by the parties. Such access should not be construed as professional advice.

In addition, Neuk does not operate as an escrow services provider, financial institution or financial advisor, and thus does not process rental payments or hold rental deposits.

All payment transactions should occur outside of the Platform between the Landlord and Tenant directly.

Third-Party Services

The Neuk Companies might also offer or recommend other third-party services to assist the Landlord. For Landlords, the Neuk Companies might offer introductions to third-party services such as photographers, cleaning services, or home staging companies to help prepare the property for rent. All such services are provided by independent third parties, not by a Neuk Company. If a Landlord decides to engage any of these services, the contract will be directly between the Landlord and the third-party service provider.

Any recommendation or suggestion of a third-party service on the Platform is not an endorsement or guarantee of that service. The Landlord should exercise their own judgment and due diligence when selecting any third-party service provider. The Neuk Companies disclaim all liability for the actions, errors, or omissions of any third-party service providers. Neuk acts as a facilitator of rental property transactions, providing the Platform for Landlords and Tenants to connect and manage the steps of a property rental. Neuk is not a party to the actual tenancy agreement between the Landlord and Tenant, does not engage in property management services and does not collect rental payments or security deposits. As such, Neuk shall not be liable for the actual performance of Landlord and Tenant, or representative of either, in completing a tenancy agreement. The obligation to rent the property lies solely with the Landlord and Tenant once they enter into a tenancy agreement. Neuk shall not be liable for any losses, costs, expenses or damages arising from the Landlord's and Tenant's failure to meet its contractual obligations, any issues related to the property itself and/or the Landlord's and Tenant's use of the Platform. It is also the responsibility of the Landlord and Tenant to ensure that the tenancy agreement is in compliance with the appropriate regulatory body and registration requirements.

While Neuk strives to maintain a high standard of accuracy and reliability on the Platform, Neuk does not guarantee that all information provided by users or third parties is correct, complete, or up-to-date. Property listings, appointment availability, offer details, and other content on the Platform will be provided by the Landlord, and Neuk cannot independently verify every piece of data received from a Landlord or Tenant.
